Terms & Conditions
These Terms govern access to and use of the Falcon Trading SRL client portal and the electronic review of quotes made available through it.

1. About these Terms
These Terms form an agreement between Falcon Trading SRL (we, us or our) and the business client and authorised representative who accesses the portal (you or your). By using the portal, you agree to these Terms.
The portal is intended for business-to-business dealings. If mandatory consumer law applies in a particular case, nothing in these Terms excludes rights that cannot lawfully be limited.
2. Purpose of the portal
The portal is a secure communication interface for viewing quotes, following their status, downloading available quote documents, approving or declining quotes, and exchanging comments with us.
The portal is not a public marketplace, payment service, accounting platform or permanent document archive. Invoicing, payment and service delivery take place under the applicable quote, invoice and any separate service agreement.
3. Eligibility and authority
- You must be at least 18 years old and use the portal for a business or professional purpose.
- You confirm that you are authorised to access the client information shown and to act for the legal entity you select.
- If you approve or decline a quote, you confirm that you have authority to communicate that decision for the client named on the quote.
- You must provide accurate names, comments and other information and must not impersonate another person.
4. Signed links, sessions and security
Portal entry uses a signed link associated with a client record instead of a password. Anyone who receives a valid link may be able to open the corresponding portal, including quotes of legal entities within the same configured client group.
- Treat the portal link as confidential and share it only with authorised representatives.
- Use Log out when you finish, especially on a shared device.
- Notify us promptly at [email protected] if a link was sent to the wrong person, disclosed, or used without authority. We may rotate or disable the link.
- You are responsible for activity performed through a link or session you knowingly provide to another person, to the extent permitted by law.
5. How electronic quote approval works
- Review the quote, client entity, scope, quantities, prices, tax treatment and other details before choosing Approve.
- If information is incorrect, do not approve. Use the comment function or contact us so the quote can be clarified or corrected.
- To approve, select Approve, enter the requested representative name, review the confirmation step and submit. To decline, select Decline, choose a reason, optionally add details and submit.
- On submission, the portal records the decision, representative name, time and related quote and displays the resulting status. Approval communicates acceptance of the quote to us and may form a binding contract when the acceptance reaches us, subject to the quote and applicable law.
- The decision and associated quote record are stored by us and remain accessible in the portal while the client link, session and record remain available. Contact [email protected] if you need a durable copy or correction.
- The portal supports contract steps in English and Romanian. We do not currently subscribe to a specific online code of conduct for this portal.
6. Quotes and order of precedence
Each quote describes the proposed services, deliverables, assumptions, quantities, currency, prices and tax treatment applicable to that proposal. A quote is valid only for the period stated in it or otherwise confirmed by us.
If these Terms conflict with a quote or a separately signed agreement, the separately signed agreement prevails, followed by the specific quote, then these Terms. A later agreed document prevails over an earlier one on the same subject.
7. Prices, tax, invoices and payment
- Prices use the currency shown in the quote. Tax is included or excluded as stated in the quote and applicable invoice.
- Portal totals are informative representations of the quote record. Notify us before approval if a total or line item appears incorrect.
- Invoices may be issued separately through our invoicing provider. Payment due dates, account details, late-payment consequences and any recurring charges are governed by the invoice, quote or separate agreement.
- Do not treat portal status labels as proof that an invoice has been paid unless we expressly confirm payment.
8. Your communications and materials
You remain responsible for comments, instructions, names and materials you submit. You grant us permission to use them to prepare quotes, communicate, provide agreed services, maintain the commercial record and establish or defend legal claims.
- Do not submit unlawful, misleading, infringing, malicious or unnecessarily sensitive content.
- Do not include passwords, payment-card details, special-category personal data or confidential third-party information unless genuinely necessary and authorised.
- You confirm that you have the rights and permissions needed for information you provide about other people.
9. Electronic communications
You agree that portal notices, status changes and emails may be used for commercial communications relating to quotes and services. Electronic records may be retained as evidence of instructions and decisions, subject to applicable law.
Email and internet communications are not guaranteed to be uninterrupted or error-free. Contact us if a decision is urgent or if the portal does not show the expected confirmation.
10. Intellectual property
We and our licensors retain rights in the portal, its software, design, branding, templates and materials, excluding client materials and rights expressly transferred under a quote or separate agreement.
We grant you a limited, revocable, non-transferable right to use the portal for your organisation’s quote workflow. You must not copy, scrape, reverse engineer, interfere with or attempt unauthorised access to the portal, except where law expressly permits it.
11. Availability and changes
We may maintain, secure, modify or discontinue portal functions. We do not promise continuous availability and may suspend access for maintenance, security, suspected misuse, legal requirements or termination of the client relationship.
Where practical, use the contact details below if the portal is unavailable. Portal unavailability does not alter a quote or payment deadline unless we agree otherwise or applicable law requires it.
12. Confidentiality and personal data
Quotes and portal content may contain confidential commercial information. Each party must protect information identified as confidential or that should reasonably be understood as confidential and use it only for the relevant business relationship, unless disclosure is authorised or legally required.
Our processing of personal data is described in the Privacy Policy linked in the portal footer. These Terms do not replace any separate data-processing agreement required for services we provide to you as a processor.
13. Responsibility and liability
Each party remains responsible for losses caused by its breach, negligence or unlawful conduct. Any service-specific warranties, remedies, exclusions or liability limits are those stated in the applicable quote or separate agreement.
To the maximum extent permitted by law, we are not liable for indirect or consequential loss caused solely by portal unavailability, an insecurely shared portal link, unauthorised use outside our reasonable control, or third-party internet services. Nothing excludes liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct or other mandatory obligations.
14. Suspension and termination
You may stop using the portal and log out at any time. You may ask us to rotate a portal link. We may restrict or end portal access where the client relationship ends, a link is compromised, these Terms are breached, or access creates a legal or security risk.
Ending portal access does not cancel an approved quote, invoice, accrued right, confidentiality obligation or record we must retain under contract or law.
15. Governing law and disputes
These Terms and portal use are governed by Romanian law, without prejudice to mandatory rules that apply regardless of this choice. The parties should first try to resolve disputes through direct good-faith discussion.
Unless a mandatory rule or an agreed contract requires another forum, disputes fall within the jurisdiction of the competent Romanian courts, with territorial competence determined under applicable law.
16. Changes and contact
We may update these Terms for legal, security or service changes. The page shows its effective date. Material changes apply prospectively and will be communicated where required; the terms attached to an already accepted quote are not changed retroactively without agreement or legal basis.
